These terms and conditions apply to the Zibcha app (hereby referred to as "Application") for mobile devices that is an application which is designed, developed and hosted by Ikshudhan NextGen Solutions Pvt Ltd. (hereby referred to as "Service Provider") as a Commercial service.

Zibcha application and all data, text, designs, pages, graphics, user interfaces, visual interfaces, images, artwork, photographs, trademarks, logos, audio and video and HTML code, source code, or software (collectively, “Content”) that reside or are viewable or otherwise discoverable on the Site are the property of Ikshudhan NextGen Solutions (OPC) Pvt Ltd.

By visiting or using the Zibcha application, you expressly agree to and consent to be bound by these Terms, as updated from time to time. You represent and warrant that you have the authority to accept this Agreement on behalf of yourself, a company, and/or other group or entity, as applicable. If you do not agree with any part of these terms, do not use the site.

This Agreement, any accompanying Terms and any documents incorporated into this Agreement by reference, constitute the entire agreement between You and Zibcha application regarding the Site and shall supersede all prior agreements and understandings that you may have previously accepted governing your use of Zibcha application, whether written or oral, or whether established by custom, practice, policy or precedent, with respect to the subject matter of this Agreement.
Nothing in this Agreement shall be construed to grant you a right to any other Zibcha application service and the Service Provider reserves the right to discontinue any Zibcha application product or service at any time in its sole discretion.

This document is an electronic record in terms of the Information Technology Act, 2000 ("IT Act"), the rules made thereunder as applicable, and the provisions pertaining to electronic records in various statutes as amended by the IT Act. This electronic record is generated by a computer system and does not require any physical or digital signatures.

Description of Service

Zibcha application is a digital storage and sharing platform for your personal financial documents and other related documents. The Site allows secure access to documents issued by the government agencies and other institutions. The Site also provides you a personal cloud space to store your documents and certificates in your account by uploading them. The key features of the Site include, but are not limited to, creation of Records for storing documents or details with your verified contacts as applicable.

Ownership of Content and License

• When you use the Site, you provide us with your files, documents and other information regarding these documents, as well as the eKYC details from Aadhaar in the event of Aadhaar-linked accounts (when applicable).
• You also give us and our registered issuers’ permission to store your documents or certificates in your Zibcha application electronically, or via URIs.
• You can share your contents with others using the Zibcha application. Unless you share your documents with others, no one can access them.
• Zibcha application grants you a limited, revocable, non-exclusive, non-sub-licensable, and non-transferable license to use our Services, subject to and in accordance with our Terms.
• This license is for the sole purpose of enabling you to use our Services in the manner permitted by our Terms. Violation of any of the terms below will result in the termination of your account.
• You retain any intellectual property rights that you have in your content. We do not claim ownership in any of your content, including any text, data, information, and files that you upload, share, or store in your Zibcha application account.
• However, we need you to give us some legal permissions (known as a 'licence') to use this content, including to host your content on our servers and back it up. This is solely for the purposes of providing and improving our products and services. This license will end when your content is deleted from our Site.
• You are solely responsible for contents you share and consequences thereof. Zibcha application does not actively pre-screen content, but it reserves the right to refuse or remove any content or account that in its sole discretion is found to be unlawful, offensive, threatening, promoting violence, defamatory, pornographic, or violating Zibcha application Terms of Service and Privacy Policy or violating any other user or party's intellectual property rights.

Availability of Zibcha Application

We make no representations and provide no warranties that:

• Zibcha application will be made available at any specific time or from any specific geographical location; your access to Zibcha application will be continuous or uninterrupted; or Zibcha application will be accessible or optimized on all browsers, computers, tablets, phones or viewing platforms.
• We reserve the right to suspend access to all or part of the Zibcha application for any reason, including for business or operational reasons, such as improving the appearance or functionality of Zibcha application, content updates, periodic maintenance, or to resolve any issues that we become aware of.
• Wherever we anticipate that we need to suspend access to Zibcha application for a considerable period of time, we will try to provide you with prior notice where reasonably practicable.
• Zibcha application is provided for users in India only. Although it may be possible to access Zibcha application from other countries, we make no representation that the Zibcha application is compliant with any legal requirements in force in any jurisdiction other than India or that the content available on Zibcha application will be appropriate for users in other countries or states.

Account, Security and Consent

To use Zibcha application services:

• You are required to open an account. You are solely responsible for maintaining the confidentiality of the information you hold for your account, including your password, and for any and all activity that occurs under your account as a result of your failing to keep this information secure and confidential.
• You must enter your mobile number and valid e-mail when creating an account on Zibcha application.
• By linking your Aadhaar number (when applicable) to your Zibcha application account, you grant Zibcha application permission to use your Aadhaar information for authentication and to retrieve your eKYC data from the UIDAI servers in order to provide the Zibcha application service.
• We reserve the right to withdraw access to your account without notice for any actual or suspected breach of these "Terms of Use" or any other documentation referred to in them, including, without limitation, where we suspect that there has been unauthorized access to your account, or any unauthorized disclosure of your login information.
• Further the account can be suspended on account of any regulatory, legal or lawful obligation prescribing or indication action on the account or on account of any obligation arising on Service Provider.

Workflows and Services Offered in Zibcha

Zibcha offers a structured system for managing your financial records, trusted contacts, and future planning through the following core workflows:

1. Contact Verification

Zibcha allows users to add and manage trusted contacts with multiple layers of security.

• Add Contact:
• All fields marked with ‘*’ are mandatory.
• After adding a contact, verification is required. This can be done through:
• Passcode : Go to My Profile → Generate Passcode and share it with your contact, who must enter it in their Contacts screen.
• Secret Question : You can set a question and answer that your contact must respond to correctly.
• Once verified, the contact will show a relation tag, and the Report Spam option will be disabled.
• Edit or Delete Contact:
  You can edit or delete a contact at any time, except when they have an NLP Pending status.
• Report Spam:
• Unverified contacts (indicated by a red vertical line) can be reported as spam.
• A user reported as spam by three or more people will be restricted from adding new contacts for seven days .

2. Record Sharing

Users can create and share categorized digital Records including Banks, Insurance, Stocks, Mutual Funds, Investments, and others.

• Record sharing is grouped into:
• Shared by Me – Records you’ve shared with others.
• Shared with Me – Records others have shared with you.
• Sharing Options:
• Private: The Record remains visible only to you.
• Share by Date: Choose a specific future date for the Record to become visible to a contact.
• Share upon Event (NLP): Records are shared when the user is marked with NLP (No Longer Present) status.

3. NLP Process Flow

NLP status or No Longer Present is used to handle situations where the user becomes deceased.

Marking a User as NLP:

• Only a Verified Contact can initiate the NLP process for a primary user.
• On the Contacts Page, the "Mark as NLP" option is available.
• Once tapped, a mandatory screen appears with the Terms of NLP Agreement, which must be accepted before proceeding.

Note: Sharing data with unverified contacts will not disclose any content, and such contacts will not have access to “Mark NLP” functionality.

Terms Acceptance:

• The dependent must read and accept the Terms & Conditions of NLP marking before confirming.

Notification Sent:

• Upon confirmation, all verified contacts of this user are notified that "User X has been marked as NLP".

Waiting Period:

• A configurable waiting period (3 to 30 days) starts.
• During this period, the Primary User (if alive) can log in and reject the NLP claim (false trigger handling).

No Response Scenario :If the Primary User does not respond within this period (indicating they may truly be no longer present).

• Their records will be made available to their set dependents as per their sharing preferences.

False Trigger Scenario :If the Primary User logs in during the waiting period and marks the NLP claim as false, then,

• The NLP process stops.
• The dependent who triggered the NLP is notified about the false trigger.

Note : We recommend users to regularly update nominee details and review shared information.
  

Disclaimers

• Zibcha application has been designed to provide high availability, tested for functionality and audited for security from time to time, however, Zibcha application does not promise, represent or warrant that the Site or any content, service or feature of the Site will be error-free or uninterrupted, or completely secure.
• Zibcha application does not warrant that the efficiency of any product, service, information, or other material obtained by you through the Site will meet user's or any other person's expectations, achieve any intended result, be compatible or work with any software, system or other services except if and to the extent expressly set forth in the specifications or that any errors in the site will be corrected.
• The Site and its content are delivered on an 'as-is' and 'as-available' basis. All information provided on the Site is subject to change without notice.
• Zibcha application disclaims all warranties, express or implied, including any warranties of accuracy, non-infringement, merchantability and fitness for a particular purpose.

Limitation on Liability

You expressly understand and agree, that in no event will Zibcha application, Ikshudhan NextGen Solutions (OPC) Pvt Ltd be liable for any expense, loss or damage including, without limitation, indirect, consequential, exemplary or incidental loss or damage, or any expense, loss or damage whatsoever arising from use, or loss of use, of data, arising out of or in connection with the use of Zibcha application.

Indemnity

You agree to defend, indemnify, and hold harmless Zibcha application and its affiliates, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) relating to any allegation or third-party legal proceeding to the extent arising from:

1. a) Your use of and access to the Site and Service.
2. b) Your violation of any term of this Agreement.
3. c) Your violation of any third party right, including without limitation, any copyright, property, or privacy right; or
4. d) Any claim that your User Content caused damage to a third party.

Limitation on Use

• The Zibcha application platform is for your personal use only and not for commercial exploitation.
• You may not decompile, reverse engineer, disassemble, rent, lease, loan, sell, sublicense, copy, modify, reproduce, republish, distribute, display, or create derivative works from Zibcha application.
• Nor may you use any network monitoring or discovery software to determine the site architecture, or extract information about usage, individual identities or users.
• You will not use any robot, spider, other automatic software or device, or manual process to monitor or copy Zibcha application without our prior written permission.
• Any unauthorized use of Zibcha application is prohibited. The use of any software (e.g., bots, scraper tools) or other automatic devices to access, monitor or copy the website pages is prohibited unless expressly authorized by Zibcha application in writing.
• You may not use the Site or any Content for any purpose that is unlawful or prohibited by these Terms of Use, or to solicit the performance of any illegal activity or other activity which infringes the rights of Zibcha application or others.

Consent

By making use of the Website, and furnishing Your contact details, You hereby agree that You are interested in knowing more or availing and/or purchasing various products, services that Zibcha or any other third party may offer to /provide to /share with /send to You from time to time through any means including but not limited to telephone, SMS (short messaging service), electronic mail (e-mail), WhatsApp or any other messaging service/mobile application or any other physical, electronic or digital means/mode.

You hereby agree that Zibcha may contact You either electronically or through phone, to understand Your interest in the selected products and Services and to fulfil Your demand or complete Your application.

Further, You also expressly agree and authorize Zibcha, its partners, service providers, vendors and other third parties to contact You for the purpose of

1. offering or inviting Your interest in availing other products or services offered by third parties, or
2. for sending other marketing campaigns, offers, or any other information either on the Website or through other means including but not limited to telephone, SMS (short messaging service), electronic mail (e-mail), WhatsApp or any other messaging service/mobile application or any other physical, electronic or digital means/mode.

Viruses and other harmful content

• We do not guarantee that the Zibcha application is free from all the errors, and it is technologically secure to restrict all viruses or other malicious software/contents.

• However, to the best of our ability, we will dedicate our resources to keep the Zibcha application secure.

• We shall not be responsible for any bugs or viruses on Zibcha application, or any software that might be transferred to your computer from Zibcha application, or any consequences which the presence or operation of such programs may have.

• You must ensure that you have in place up-to-date and effective anti-virus protection and firewall on your computer or other browsing device.

• You must not upload or otherwise introduce to Zibcha application any viruses, malware, spyware, adware, Trojan horses, worms, logic bombs, time bombs, keystroke loggers or any other programs or code that is harmful or malicious in nature.

• You must not use any third parties' system, software or technology to attempt to gain unauthorized access to Zibcha application, our servers, systems, hardware, software or data.

• You must not attempt to perform any denial-of-service type attack on the Zibcha application.

• You must not perform any action which would contravene Information Technology Act, 2000.

• We may report any breach or suspected breach to the relevant authorities (including any law-enforcement agencies) and may disclose your identity and act.

Right to Modify or Terminate

• Zibcha application reserves the right, at any time, to modify or discontinue, temporarily or permanently, the Service (or any part of it), with or without notice. Zibcha application in its sole discretion reserves the right to suspend or terminate any user account and refuse any current or future use of the platform for any reason at any time.

• Such termination may result in the deactivation or deletion of the account, and the loss of all the content hosted therein.

• Zibcha application reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time without written notice by posting the modified Terms on this website indicating the ‘last updated date.’

• Any changes we make will be effective immediately. Accordingly, you take the responsibility to check these Terms of Use periodically for changes. Your continued use of the Site posts such revision shall constitute acceptance of the modified Terms.

Force Majeure

If performance of Services/Website by Zibcha is prevented, restricted, delayed or interfered with by reason of labor disputes, strikes, acts of God, epidemic, pandemic, floods, lightning, severe weather, shortages of materials, rationing, inducement of any virus, malware, Trojan or other disruptive mechanisms, any event of hacking or illegal usage of the Website, utility or communication failures, earthquakes, war, revolution, acts of terrorism, civil commotion, acts of public enemies, blockade, embargo or any law, order, proclamation, regulation, ordinance, demand or requirement having legal effect of any government, regulatory or any judicial authority or representative of any such government, or any other act whatsoever, whether similar or dissimilar to those referred to in this clause, which are beyond the reasonable control of Zibcha , then Zibcha shall be excused and discharged from such performance to the extent of and during the period of such force majeure event, and such non-performance shall, in no manner whosoever, amount to a breach by Zibcha of its obligations herein or incur any legal liability on Zibcha .

Jurisdiction

These Terms shall be governed by and construed in accordance with the Indian law. Any dispute arising under these Terms shall be subjected to the exclusive jurisdiction of the courts located in Hyderabad, Telangana only.

These terms and conditions are effective as of 2025-04-01
